These Badge Terms & Conditions (the “Agreement”) are a legal contract between Million Sides, Inc. d/b/a North American Electronic Sound Expo (“NAESE”) (“Organizer,” “NAESE,” “Show Management,” “we,” “us”) and the individual purchasing, accepting, or using a badge, badge, wristband, credential, or other admission pass to the Event (“Attendee,” “you”).
By purchasing, receiving, possessing, or using an Event credential, or by entering any part of the Event, you agree to be bound by this Agreement.
1. Definitions
1.1 Event means the North American Electronic Sound Expo (NAESE), including any official programming, expo floor, sessions, performances, workshops, social events, and ancillary events, whether held at the Venue or on any official digital platform.
1.2 Venue means the facility(ies) at which the Event is held, including surrounding grounds and controlled-access areas.
1.3 Credential means any badge, wristband, badge, QR code, pass, lanyard, or digital/printed credential, and any replacements or reprints. Credentials are a revocable license (not property).
1.4 Platform means NAESE’s badge/registration provider(s) and associated websites and systems.
2. Credential Use; Refunds; Non-Transfer; Fraud; Replacement
2.1 Single-user license. Each Credential is valid only for the individual to whom it is issued and may not be shared. Credentials may be revoked at any time for violation of this Agreement or Event rules.
2.2 Refunds & non-transfer / substitution. Credentials are non-refundable and non-transferable except as expressly permitted in writing by Organizer. If Organizer permits refunds substitutions, or transfers, they must be completed in accordance with the rules and deadlines posted in the Exhibitor/Attendee Manual or badge checkout flow, and may be subject to a processing fee.
2.3 No resale; counterfeit; fraud. Unauthorized resale, attempted resale, assignment, or transfer; counterfeiting; or altering a Credential is prohibited and may result in immediate confiscation and removal without refund.
2.4 Lost/stolen Credentials. You are responsible for safeguarding your Credential. Organizer is not responsible for lost, stolen, or damaged Credentials. Replacement, if allowed, may require ID verification and a replacement/reprint fee.
3. Admission; Security; Prohibited Items
3.1 Admission is subject to compliance. Admission is subject to capacity, security screening, and compliance with this Agreement and all posted rules.
3.2 Security screening. Attendees, bags, and personal property may be screened. Organizer and/or Venue reserves the right to deny entry to or remove any item at their discretion consistent with applicable law.
3.3 Prohibited items / conduct (high-level). Organizer may prohibit weapons, illegal substances, hazardous items, and any items or activities that may endanger others or materially disrupt the Event. Additional rules may be listed in the Attendee Manual and Venue policies.
4. Code of Conduct; Removal; No Refund
4.1 Professional and respectful environment. NAESE is committed to providing a safe, inclusive, harassment-free environment. Harassment or abusive conduct is prohibited.
4.2 Incorporated policies. The Event’s Code of Conduct, health/safety rules, and any Venue policies are incorporated by reference and are binding as if fully stated here.
4.3 Enforcement; removal. Organizer may deny entry, remove, ban, or eject any Attendee, or revoke any Credential, in Organizer’s reasonable discretion, for violation of this Agreement, the Code of Conduct, health/safety rules, or applicable law. Removal may occur without refund and may result in disqualification from future events.

5. Recording Policy; Photography & Media Release
5.1 Attendee recording restrictions. Unless Organizer expressly permits otherwise in writing, you may not record or broadcast sessions, performances, or activities in a manner that is disruptive, violates speaker/artist restrictions, infringes IP, or conflicts with posted rules. Organizer may require you to stop recording or to leave a space if your recording is disruptive or prohibited.
5.2 Media release to Organizer. By attending, you grant Organizer and those acting with Organizer’s authority a worldwide, perpetual, irrevocable, royalty-free right to photograph, record, and use your name, image, likeness, voice, and biographical information captured at the Event for promotional, editorial, educational, and archival purposes in any media, without compensation, except where prohibited by law.
5.3 No expectation of privacy. The Event is a public environment; Organizer cannot guarantee that you will not be photographed or recorded.
6. Assumption of Risk; Release; Waiver; Indemnity
6.1 Assumption of risk. You understand the Event may involve crowds, amplified sound, lighting effects, equipment demonstrations, elevated platforms/cables, and other conditions with inherent risks. You voluntarily assume all risks of injury, illness, death, or property damage arising out of or related to attending the Event, except to the extent caused by Organizer’s sole gross negligence or willful misconduct where such limitation is not permitted by law.
6.2 Release. To the maximum extent permitted by law, you release Organizer, the Venue, and their respective owners, operators, affiliates, officers, directors, employees, contractors, agents, volunteers, sponsors, and exhibitors (collectively, “Released Parties”) from claims arising out of your attendance, participation, or presence at the Event, except where prohibited by law.
6.3 Indemnity. You agree to indemnify and hold harmless the Released Parties from third-party claims arising from your acts or omissions at the Event, including violation of this Agreement, violation of law, or infringement of third-party rights, except to the extent caused by a Released Party’s gross negligence or willful misconduct where such limitation is not permitted by law.
7. Personal Property
7.1 At your own risk. You bring personal property to the Event at your own risk. Organizer is not responsible for loss, theft, or damage to personal property, consistent with applicable law. Unattended property may be handled as Organizer deems appropriate.
8. Travel; Lodging; Third-Party Services
8.1 Travel at your own risk. You are responsible for travel, lodging, and related expenses. Organizer is not liable for such costs, including if you cannot attend due to travel disruptions or restrictions.
8.2 Third parties. Organizer is not responsible for services provided by third parties (e.g., hotels, rideshare, vendors, payment processors) except as required by law.
9. Event Changes; Cancellation; Force Majeure; Refund Policy
9.1 Program changes. Organizer may change the Event schedule, content, speakers, performers, exhibitors, hours, layout, or Venue access rules at any time.
9.2 Cancellation/reschedule/relocation. If the Event is postponed, rescheduled, relocated, or canceled due to circumstances beyond Organizer’s reasonable control (a “Force Majeure Event”)—including acts of God, war, terrorism, civil disorder, labor disputes, government action, public health emergencies, supply chain disruption, or Venue unavailability—Organizer may, in its discretion and to the extent permitted by law: (a) honor Credentials for a rescheduled date; (b) provide a credit toward a future NAESE event; and/or (c) provide refunds in accordance with the posted Refund Policy.
9.3 Refund policy. Refund eligibility, deadlines, and processing fees (if any) will be published on the Event website and/or checkout flow (the “Refund Policy”). Except as required by law or expressly stated in the Refund Policy, Credentials are non-refundable.
9.4 No liability for incidental costs. Organizer is not responsible for airfare, lodging, visas, or other incidental costs due to Event changes or cancellation, to the extent permitted by law.
10. Payment Disputes; Chargebacks
10.1 No improper chargebacks. You agree not to initiate a chargeback or payment dispute in bad faith or contrary to this Agreement or the Refund Policy. Organizer may suspend or revoke Credentials and/or pursue collection for improper chargebacks, to the extent permitted by law.
11. Privacy; Attendee Data; Communications
11.1 Data handling. Organizer may collect and use registration information to operate the Event, administer Credentials, provide notices, and communicate Event-related information.
11.2 Sharing with attendees/exhibitors. Organizer may share limited attendee information (e.g., name, company, role, city) in attendee lists, badge printing, or Event apps, as disclosed in Organizer’s Privacy Policy and/or during registration.
11.3 Marketing preferences. Your marketing preferences will be honored as required by law and as described at registration and in the Privacy Policy.
12. Accessibility; Accommodation Requests
Organizer will make reasonable efforts to provide accessibility accommodations consistent with applicable law. Requests must be submitted by the deadline stated on the Event website.
13. Minors; Age Requirements (TBD)
13.1 Age policy. Attendee must be at least 18 years old to attend unaccompanied. Minors must be accompanied by a parent/guardian and may require a signed waiver, subject to Venue policy and applicable law.
13.2 Guardian responsibility. Parent/guardian assumes all responsibility for the minor’s conduct and supervision.
14. Governing Law; Venue; Dispute Resolution (Attorney to finalize)
14.1 Governing law. This Agreement is governed by the laws of the State of Ohio, excluding conflict-of-law rules.
14.2 Venue. Exclusive venue for disputes will be state courts in Cuyahoga County, Ohio and the applicable federal court, unless Organizer elects to require arbitration as described below.
14.3 Optional arbitration clause (placeholder). [Arbitration language TBD by counsel—either none, or a limited arbitration clause.]
15. Miscellaneous
15.1 Severability. If any provision is held unenforceable, the remainder remains in effect.
15.2 No waiver. Failure to enforce a provision is not a waiver.
15.3 Changes to terms. Organizer may update these terms from time to time by posting an updated version. Changes will apply prospectively as permitted by law.
