These Terms of Use (“Terms”) govern your access to and use of the Site and any related online services we provide (including registration portals and support channels linked from the Site). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1) Scope; Other Terms That May Apply
1.1 Privacy Policy. Our Privacy Policy describes how we collect, use, and share information and is incorporated by reference.
1.2 Credentials and Event participation. Purchasing credentials, registering, exhibiting, sponsoring, speaking, performing, volunteering, or attending NAESE may require you to agree to additional terms, including:
- Attendee Agreement (including Refund/Transfer Policy and Code of Conduct)
- Exhibitor Agreement and Exhibitor Manual
- Sponsorship Agreement
- Press Credential Terms / Press Code of Conduct
Those additional terms govern those relationships and may control if there is a conflict.
1.3 Badge/payment processors. Payments are processed through third-party providers (for example, Stripe). Your use of their services may be subject to their terms and policies.
2) Eligibility
2.1 Age. The Site is not directed to children under 13. If you are under 18, you may use the Site only with the involvement of a parent or legal guardian, and your parent/guardian is responsible for your use of the Site.
2.2 Authority. If you use the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3) Accounts; Security
3.1 Account creation. Some features (such as registration) may require you to create an account. You agree to provide accurate information and keep it up to date.
3.2 Credential security. You are responsible for maintaining the confidentiality of your login credentials and for activities under your account. Notify us promptly if you believe your account has been compromised.
3.3 Account actions. We may suspend or terminate accounts that violate these Terms or applicable policies, or where we reasonably believe security is at risk.
4) Acceptable Use; Prohibited Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to accounts, systems, or networks
- Probe, scan, or test the vulnerability of the Site or bypass security measures
- Interfere with or disrupt the Site, servers, or networks (including via automated scripts, scraping, or denial-of-service)
- Upload or transmit malware or malicious code
- Use the Site to harass, threaten, defame, or impersonate others
- Harvest or collect personal information from the Site except as expressly permitted by us
- Use the Site to send unsolicited communications or spam
- Copy, reproduce, or redistribute Site content except as permitted in Section 6
We may investigate suspected violations and may report unlawful conduct to law enforcement.
5) Purchases; Registration; Refunds
5.1 Information accuracy. You agree that all purchase and registration information you provide is accurate and complete.
5.2 Order confirmation. An order is not final until confirmed by us (or our badge system). We may refuse, cancel, or limit orders in cases of suspected fraud, errors, or policy violations.
5.3 Refunds/transfers. Refunds, transfers, credits, and chargeback disputes (if any) are governed by the applicable badge terms and/or the posted Refund/Transfer Policy for the relevant product.
5.4 Taxes/fees. Prices may exclude taxes and processing/platform fees, which will be disclosed at checkout.
6) Intellectual Property
6.1 Our content. The Site and its content (including text, graphics, logos, designs, photographs, videos, audio, and software) are owned by or licensed to NAESE and are protected by intellectual property laws.
6.2 Limited license to you. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes, in accordance with these Terms.
6.3 Restrictions. You may not copy, reproduce, modify, distribute, create derivative works from, publicly display, or exploit Site content except with our prior written consent, unless permitted by law.
6.4 Trademarks. NAESE and its logos are trademarks of NAESE (or our licensors). You may not use our marks without prior written permission, except as allowed under applicable law.
7) User Submissions
7.1 Submissions. If you submit content to us (such as messages, form entries, feedback, survey responses, images, or other materials), you represent that you have the right to submit it and that it does not violate any law or third-party rights.
7.2 License. You grant NAESE a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your submission solely to operate and improve the Site and Event services, respond to you, and for internal business purposes.
7.3 No confidential submissions. Unless we agree otherwise in writing, do not submit confidential or proprietary information through the Site.
8) Links and Third-Party Services
The Site may contain links to third-party websites or services. We do not control those third parties and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk.
9) Disclaimers
9.1 Site provided “as is.” The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9.2 No guarantee of uninterrupted service. We do not guarantee that the Site will be uninterrupted, error-free, or secure, or that defects will be corrected.
9.3 Event information may change. Event dates, programming, speakers/performers, vendors, venue details, and other content may change. We are not responsible for reliance on information that is later updated, except as governed by your badge/exhibitor/sponsor terms.
10) Limitation of Liability
To the maximum extent permitted by law:
- NAESE will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or lost profits/revenues, arising from or related to your use of (or inability to use) the Site.
- NAESE’s total liability for all claims arising from or related to the Site will not exceed $100 or the amount you paid us for Site access in the 12 months before the event giving rise to the claim (whichever is greater).
Some jurisdictions do not allow certain limitations, so these limits may not apply to you.
11) Indemnification
You agree to indemnify, defend, and hold harmless NAESE and its officers, directors, employees, contractors, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Site,
- your violation of these Terms,
- your violation of any law or third-party rights,
- your submissions.
12) Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you violated these Terms or pose a security or legal risk. Sections that by their nature should survive termination (IP, disclaimers, limitation of liability, indemnity, dispute terms) will survive.
13) Governing Law; Disputes
13.1 Governing law. These Terms are governed by the laws of Ohio, excluding conflict-of-law rules.
13.2 Venue. Any dispute arising from these Terms will be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to personal jurisdiction there.
14) Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted with a new Effective Date. Material changes may be communicated via the Site or email where appropriate. Your continued use of the Site after changes become effective constitutes acceptance.
